Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Waypoint Dynamics LLC carrier portal and dispatch services. By creating an account or using the portal, you agree to these Terms.

1. Who We Are / Nature of Services

Waypoint Dynamics LLC provides truck dispatch services. We act as your agent and authorized representative to locate, negotiate, and book freight on your behalf for a fee. You are the motor carrier. You hold and control your own operating authority, insurance, equipment, and drivers. Waypoint Dynamics is not a motor carrier, not a freight broker, and does not take possession of or control over any freight or equipment.

2. Eligibility & Account Approval

To use the portal you must be a motor carrier or owner-operator with valid, active operating authority and insurance. Accounts are subject to review and approval. We may approve, reject, suspend, or terminate accounts at our discretion, including for inaccurate information, lapsed authority or insurance, or violation of these Terms.

3. Your Responsibilities

You agree to:

  • Maintain valid operating authority, required insurance, and all DOT/FMCSA compliance.
  • Provide accurate, current information and keep documents (COI, authority) up to date.
  • Make all final decisions about which loads to accept; you are never obligated to accept a load we present.
  • Operate safely and lawfully, including all hours-of-service, licensing, and safety regulations.
  • Handle all aspects of transportation, delivery, and any claims with shippers, brokers, or receivers.

4. Dispatch Fees

You agree to pay dispatch fees as agreed. Default fees are charged per load by equipment type (for example: dry van $300, reefer $350, flatbed $400, tanker $450), with percentage-based or custom pricing for specialized freight. Fees and terms are confirmed at signup or in a separate dispatch service agreement. Fees are owed for loads we book on your behalf regardless of downstream payment disputes between you and the broker/shipper, unless otherwise agreed.

5. Payment & Settlements

Dispatch fees are billed as set out in your agreement (e.g., weekly). Late or unpaid fees may result in suspension of service. You are responsible for your own factoring, invoicing, and collection from brokers/shippers; Waypoint Dynamics does not guarantee payment from any third party.

6. No Guarantee of Loads or Rates

We do not guarantee any minimum number of loads, rate per mile, revenue, or continuous availability of freight. Rate calculations and negotiation tools in the portal are estimates and decision aids only; actual rates depend on market conditions and third-party agreement.

7. Independent Relationship

Nothing in these Terms creates an employer/employee, partnership, or joint-venture relationship. You operate as an independent motor carrier. We act solely as your dispatch agent.

8. Limitation of Liability

To the fullest extent permitted by law, Waypoint Dynamics LLC is not liable for cargo loss or damage, accidents, delays, detention, broker or shipper non-payment, chargebacks, lost profits, or any indirect, incidental, or consequential damages arising from your transportation operations or use of the portal. Our total liability for any claim is limited to the dispatch fees you paid us in the [30 / 60 / 90] days preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Waypoint Dynamics LLC, its members and staff, from any claims, damages, fines, or expenses (including legal fees) arising from your operations, your drivers, cargo, accidents, regulatory violations, or your use of the portal.

10. Messaging & Acceptable Use

The portal's messaging system is for legitimate dispatch and business communication. You may not use the portal or messaging for unlawful, abusive, or fraudulent purposes. We may monitor, suspend, or remove access for misuse.

11. Data

Your use of the portal is also governed by our Privacy Policy.

12. Term & Termination

Either party may terminate the dispatch relationship per your service agreement (or with reasonable notice if none is specified). Outstanding dispatch fees remain due on termination. We may suspend or terminate access immediately for non-payment, lapsed authority/insurance, or breach of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in [PARISH/COUNTY], Louisiana, unless the parties agree to arbitration.

14. Changes to These Terms

We may update these Terms. Continued use of the portal after changes are posted constitutes acceptance.
